TerrorFest Vendor Agreement

Please read this agreement in full before submitting. By checking the box below you confirm you have read, understood, and agree to all terms.

1. Payment and Refund Policy

All vendor fees are due in full at the time of application. All sales are final. No refunds, exchanges, or credits will be issued under any circumstances, including vendor cancellation, personal emergencies, weather conditions, or dissatisfaction with space location.

2. Space Assignment

Space assignments are made at the sole discretion of TerrorFest and Silverback Events LLC. Payment does not guarantee a specific location or adjacency. TerrorFest reserves the right to reassign spaces at any time without refund.

3. Vendor Responsibilities

Each vendor is solely responsible for providing and maintaining all equipment necessary for their booth, including but not limited to tables, chairs, tents, displays, lighting, extension cords, weights, signage, and merchandise. Standard vendor spaces measure approximately 10 feet by 10 feet. Vendors must keep all merchandise, displays, and equipment entirely within their assigned space unless otherwise approved in writing. Vendors are responsible for maintaining a clean, safe, and professional booth throughout the event and must remove all trash before departure.

4. Setup and Breakdown

All vendors must complete setup before the event opens to the public. For the safety of attendees and fellow vendors, booths may not begin dismantling or vacate the event before the official closing time unless prior approval is given by TerrorFest management. Failure to comply may affect eligibility for future events.

5. Power and Utilities

Electricity is not available at vendor spaces. Battery-powered generators are permitted. Gas-powered generators are strictly prohibited. Violation may result in immediate removal without refund.

6. Food Truck Vendors

Food truck vendors are solely responsible for all permits, health certifications, and licenses required to operate in Montgomery County, Texas. Operating without required permits is grounds for immediate removal without refund.

7. Intellectual Property

Vendor represents that all merchandise sold or displayed is legally owned, licensed, or otherwise authorized for sale. Vendor assumes full responsibility for any copyright, trademark, patent, licensing, or intellectual property disputes arising from products sold or displayed.

8. Conduct and Compliance

TerrorFest reserves the right to remove any vendor at any time without refund for conduct deemed disruptive, dangerous, or offensive. This includes harassment, selling prohibited items, operating outside assigned space, or failure to maintain a clean and safe setup.

9. Liability Waiver

TerrorFest, Silverback Events LLC, B-52 Brewing Company, and their agents shall not be held liable for any loss, theft, damage, or injury to vendor property or person. Vendors participate at their own risk.

10. Attendance Disclaimer

TerrorFest makes no guarantees regarding event attendance. Historical figures are estimates only. No refund will be made based on attendance.

11. Event Cancellation

In the unlikely event TerrorFest V is cancelled due to circumstances beyond Silverback Events LLC's control, TerrorFest will make reasonable efforts to offer a credit toward a future event. No cash refunds are guaranteed.

12. Photography and Videography

Vendor acknowledges that TerrorFest, Silverback Events LLC, and their authorized photographers, videographers, media representatives, and promotional partners may photograph, film, record, or livestream the event. By participating, Vendor grants TerrorFest and Silverback Events LLC the perpetual, worldwide, royalty-free right to use images or recordings of the Vendor, Vendor's staff, booth, displays, merchandise, logos, or likeness for promotional, marketing, social media, website, archival, and other lawful business purposes without compensation or additional consent. TerrorFest and Silverback Events LLC will use such media responsibly and professionally.

13. Vendor Property and Security

Vendors are solely responsible for securing and safeguarding all merchandise, inventory, equipment, cash, personal belongings, vehicles, trailers, displays, and other property before, during, and after the event. TerrorFest, Silverback Events LLC, B-52 Brewing Company, and the property owner do not provide individual booth security and assume no responsibility for lost, stolen, misplaced, damaged, or destroyed property.

14. Liability, Assumption of Risk, and Indemnification

Vendor voluntarily assumes all risks associated with participation in TerrorFest. To the fullest extent permitted by Texas law, TerrorFest, Silverback Events LLC, B-52 Brewing Company, the property owner, sponsors, volunteers, employees, contractors, officers, directors, agents, and representatives shall not be liable for any claims, liabilities, losses, judgments, costs, expenses, or reasonable attorney's fees arising out of or related to: Vendor's participation in the event; Vendor's merchandise or services; Vendor's employees, contractors, agents, assistants, or representatives; or any injury, property damage, or other loss caused by Vendor or Vendor's booth.

15. Weather and Force Majeure

TerrorFest is a rain-or-shine event unless otherwise announced. Silverback Events LLC shall not be liable for cancellation, postponement, delays, schedule changes, or modifications resulting from events beyond its reasonable control, including but not limited to severe weather, flooding, hurricanes, acts of God, fire, power outages, government orders, public health emergencies, pandemics, acts of terrorism, civil unrest, labor disputes, venue issues, or any other unforeseen circumstance. In such cases, TerrorFest may, at its sole discretion, offer a credit toward a future event but is not obligated to provide refunds. Any costs associated with removal or disposal shall be the responsibility of the Vendor.

16. Event Cancellation, Postponement, or Modification

If TerrorFest is cancelled, postponed, relocated, or otherwise modified for any reason, Silverback Events LLC reserves the sole right to determine how the event will proceed and what accommodations, if any, will be offered to vendors.

17. Governing Law

This agreement is governed by the laws of the State of Texas. Any disputes shall be resolved in Montgomery County, Texas.
